Terms of Service and End User License Agreement (EULA)

Effective date: September 2026

These Terms of Service and End User License Agreement (“Agreement”) govern your use of the Project Team Planner Free Desktop Edition (“Software”).

Please read this Agreement carefully before installing or using the Software. By installing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. Provider and License Grant

The Project Team Planner Free Desktop Edition is currently developed and provided by S.A. de Haas, operating under the provisional business name “SDH Software BV”.

The formal registration of SDH Software BV is currently in progress. Until that registration has been completed, S.A. de Haas remains the responsible party for the Software and this Agreement.

Subject to your compliance with this Agreement, you are granted a personal, limited, non-exclusive, non-transferable, and revocable license to install and use the Free Desktop Edition of Project Team Planner.

This license is provided for the duration of your permitted use of the Software and does not transfer ownership of the Software or any intellectual property rights to you.

2. Intellectual Property

The Software, including its source code, object code, user interface, original graphics, documentation, and other original materials, is protected by applicable intellectual property laws.

All intellectual property rights in the original Software remain with S.A. de Haas, except for third-party software components, libraries, materials, or other content that are subject to their own licenses.

Nothing in this Agreement grants you ownership of the Software or any intellectual property rights belonging to the provider or third parties.

The name Project Team Planner and any associated logos, branding, or trademarks may not be used in a way that suggests an affiliation, endorsement, or ownership that does not exist.

3. Permitted Use

The Free Desktop Edition is intended for use by an individual user on a single computer.

You may:

  • install the Software on one computer;
  • use the Software for your own personal or professional project-management activities;
  • create and manage your own project and team data using the Software; and
  • make reasonable backup copies of your own data.

Unless otherwise expressly permitted by the provider, you may not:

  • sublicense the Software;
  • sell, resell, rent, lease, or distribute the Software;
  • provide the Software as a service to third parties;
  • operate the Software as a shared or hosted multi-user service;
  • make the Software available to multiple users through a network or other centralized deployment;
  • modify, adapt, or create derivative works of the Software, except where such activity is expressly permitted by applicable law;
  • reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits such activity;
  • remove or alter copyright, trademark, or other proprietary notices; or
  • use the Software for any unlawful purpose.

Nothing in this section limits rights that cannot legally be excluded under applicable law.

4. Single-User Desktop Edition

The Free Desktop Edition is designed as a single-user desktop application.

The license does not include:

  • multi-user collaboration;
  • centralized server deployment;
  • shared databases;
  • hosted access;
  • remote multi-user access; or
  • other server-based functionality.

Such functionality may be offered separately as part of a future Project Team Planner Server Edition.

The availability, pricing, licensing terms, and functionality of any future Server Edition will be communicated separately and are not part of this Agreement.

5. Local Data Storage and Privacy

The Free Desktop Edition is designed to operate locally on your computer.

Project data, team information, configuration data, and other information created and managed through the Desktop Edition are stored locally on your device and are not intentionally transmitted to the provider as part of the normal operation of the Software.

The provider does not have a backdoor or other intended means of accessing your locally stored project database.

You are responsible for:

  • maintaining appropriate backups of your data;
  • securing your computer and storage environment;
  • protecting access to your local files and databases; and
  • ensuring that your use of the Software complies with your own legal, contractual, and organizational obligations.

The above applies to data stored and processed locally by the Desktop Edition. Information that you voluntarily provide through the Project Team Planner website or other online services may be processed separately as described in the Privacy Policy.

6. Software Updates and Availability

The Free Desktop Edition is provided without a guarantee of continuous availability, maintenance, or future development.

Except where required by applicable law, the provider does not guarantee that:

  • the Software will remain available indefinitely;
  • future versions will be compatible with your current system;
  • errors or defects will be corrected;
  • updates will be released;
  • new features will be added; or
  • technical support will be available.

The provider may release updates, improvements, bug fixes, or new versions at its discretion.

7. No Warranty

To the maximum extent permitted by applicable law, the Software is provided “AS IS” and “AS AVAILABLE”.

No express or implied warranties are provided except where such warranties cannot legally be excluded.

To the extent permitted by applicable law, the provider does not warrant that the Software will:

  • operate without interruption;
  • be error-free;
  • meet all of your particular requirements;
  • be compatible with every hardware or software configuration; or
  • remain available or unchanged for any particular period.

You are responsible for determining whether the Software is suitable for your intended use.

8. Your Data and Backups

You retain ownership of the project data and other information that you create or store using the Software.

The provider does not claim ownership of your project data merely because you use the Software to create or store it.

Because the Desktop Edition stores data locally, you are solely responsible for maintaining appropriate backups.

The provider cannot guarantee that your locally stored data will not be lost, corrupted, damaged, or rendered inaccessible as a result of hardware failure, operating-system failure, accidental deletion, malware, user error, or other circumstances.

You should maintain regular and appropriate backups of important data.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the provider shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Software.

This may include, to the extent permitted by law, loss of profits, loss of business, loss of goodwill, business interruption, or loss or corruption of data.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

In particular, nothing in this Agreement is intended to exclude or limit liability for matters that cannot legally be excluded or limited under applicable law.

10. Free Software

The Free Desktop Edition is currently provided without charge.

The provider may, at its discretion, introduce paid versions, additional products, services, or features in the future.

The availability of the Free Desktop Edition does not create any obligation to provide future products, features, support, updates, or services free of charge.

Any future paid edition, including the planned Server Edition, may be subject to separate terms and licensing conditions.

11. Termination

This Agreement remains in effect for as long as you are permitted to use the Software.

You may terminate your license at any time by uninstalling and ceasing to use the Software.

Your license may automatically terminate if you materially breach this Agreement.

Upon termination, you must cease using the Software and, where applicable, delete copies of the Software from your devices.

Termination does not affect any rights or obligations that by their nature are intended to survive termination.

12. Third-Party Components

The Software may include or depend upon third-party libraries, frameworks, or other components.

Such components may be provided under separate open-source or third-party license terms.

Where applicable, those license terms continue to apply to the relevant components and may grant you rights that are additional to, or different from, those contained in this Agreement.

Nothing in this Agreement is intended to restrict rights granted to you under an applicable third-party or open-source license.

13. Changes to This Agreement

The provider may update this Agreement from time to time, for example to reflect changes to the Software, the introduction of new features, or changes in applicable legal requirements.

The current version of this Agreement will be made available through the Project Team Planner website.

If a change materially affects your rights or obligations, the updated Agreement will indicate the applicable effective date.

Your continued use of the Software after the effective date of an updated Agreement constitutes acceptance of the updated terms, to the extent permitted by applicable law.

14. Governing Law and Mandatory Rights

This Agreement shall be governed by the laws of the Netherlands, without regard to its conflict-of-law principles.

Nothing in this Agreement is intended to deprive consumers of any mandatory rights or protections that apply to them under the laws of the country in which they are resident, where such rights cannot legally be excluded or waived.

Where applicable, mandatory consumer protection laws shall prevail over conflicting provisions of this Agreement.

15. Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Agreement constitutes the agreement between you and the provider concerning your use of the Project Team Planner Free Desktop Edition and supersedes any prior agreement concerning the same subject matter, except where separate terms are expressly applicable.
